Terms of Service

This Terms of Service ("ToS") is a legal agreement between you, the customer (including any authorized agents or representatives), referred to as "you," "your," "customer," or "user," and 365 Group LLC, referred to as "we," "us," "our," "GreenCloud," or "GreenCloudVPS." This ToS governs your use of GreenCloud’s services, including virtual private servers (VPS), dedicated servers, server hosting, website hosting, network connectivity, internet bandwidth, server management, and related services.

1. Changes to the TOS

GreenCloud may update this ToS at any time, with or without notice. Changes take effect immediately upon posting on our website. Continued use of our services constitutes acceptance of the updated ToS.

2. Billing terms

Money Back Guarantee
Eligibility: New clients are eligible for a refund on their first VPS plan within 7 days of account registration. Refunds exclude add-on services (e.g., cPanel, DirectAdmin).
Exclusions:
  • Cryptocurrency payments are non-refundable.
  • Additional orders, upgraded services, or services using 10% or more of allocated bandwidth are ineligible.
  • Services suspended or terminated for violating the Acceptable Use Policy (AUP) or ToS are ineligible.
  • Promotional plans are non-refundable.
  • Dedicated servers and proxies are non-refundable.
Responsibility: Customers must cancel all recurring payment profiles to avoid charges.

Billing Methodology and Information
Invoicing: Invoices are issued 14 days before the due date. Payment is due by the due date.
Late Fees: A 10% late fee applies to accounts overdue by 2 days. Additional penalties may apply for repeat offenders at GreenCloud’s discretion.
Suspension/Termination: Services may be suspended 1 day after the due date and terminated 3 days after the due date.
Overpayments: Payments made via multiple PayPal or credit card subscriptions are credited to the account and are non-refundable. Contact [email protected] for assistance.

Fraud

Accounts found engaging in fraudulent activity are subject to immediate suspension or termination at GreenCloud’s discretion. Fraudulent accounts will be reported to local authorities and financial institutions, and GreenCloud will pursue legal action to the fullest extent of the law.

Disputes and Chargebacks

Initiating a dispute or chargeback with PayPal or a credit card issuer will result in immediate suspension or termination of all services. Chargebacks filed under false pretenses are considered fraudulent and will be treated accordingly.

Cancellation notice
Process: Customers may cancel services at any time via the cancellation form in the client area (Client Area > Services > My Services > Select Service > Request Cancellation).
Notice: Provide as much notice as possible and cancel any automatic payments to avoid charges.
Refunds: Cancellation does not guarantee a refund. Non-refunded canceled VPS services may be recreated for a $5 fee, except for repeated ineligible cancellations, which are prohibited.

3. Prices

Price Changes:

GreenCloud may adjust prices at the start of a customer’s next billing cycle due to changes in software licenses, power, space, labor, regulations, taxes, or other business costs. Customers will be notified of price changes.

Currency and rates:

All services are priced in U.S. dollars. GreenCloud may reprice services in another currency with prior notice.

Prices valid for new orders only:

Prices listed on our website, in special offers, or provided as quotes apply only to new orders and may not be applied to existing orders due to inventory and stock management.

Special Offers:

Promotional pricing is offered on a case-by-case basis and is valid only for the intended recipients. Special offers are non-transferable and ineligible for plan or location changes.

Additional services:
  • VPS Location Change: $3 one-time fee.
  • IP Address Change: $2 one-time fee (all locations). Accessibility to certain websites (e.g., Netflix, Etsy) is not guaranteed. Chinese customers may request one free IP change within 3 hours of VPS delivery if the IP is blocked by the Great Firewall of China (GFW); otherwise, a $2 fee applies.
  • Additional bandwidth for KVM VPS: $3/TB/mo in the US/EU and $15/TB/mo in APAC.
  • Bandwidth Reset: Customers who exhaust allocated bandwidth may purchase a reset at the rates above.
  • Additional Storage for Storage KVM VPS: $5/TB/month, up to 20TB.
  • Additional IPs for KVM VPS: $2/IP/month (U.S.), $3/IP/month (EU/APAC), maximum 5 IPs per VPS.
  • Non-Refundable: Additional services are non-refundable.
Service Migration:
  • Tokyo Data Center Network Line Change:

Switching between SoftBank and IIJ lines incurs a $10 fee. Customers must back up data, and the IP address will change.

  • SolusVM to VirtFusion Migration

Migrations after the specified deadline incur a $10 fee per request.

  • CPU Allocation Upon Migration:

Post-migration CPU allocation depends on available resources but will not be lower than the plan’s specified CPU.

Account and Service Transfers:

Prohibition: Reselling or transferring accounts to other customers is prohibited. Detected attempts will result in permanent account and service termination.

Service Transfers: The first transfer request is free; subsequent requests incur a $10 one-time fee per VPS. Promotional plans must be active for at least one month before transfer. Transfers are non-reversible.

Non-Transferable Services: Community-exclusive deals, giveaways, and free services are non-transferable.

4. Support

GreenCloud provides unmanaged services with hardware support for server functionality. Software support is limited to default installations selected during ordering. GreenCloud is not liable for software configuration, misconfiguration-related downtime, or third-party customer support.

5. Data Residency

GreenCloud ensures data residency to comply with data privacy regulations (e.g., HIPAA in the U.S., GDPR in the EU). Customer data remains within its country of origin to minimize exposure to foreign jurisdictions.

6. Backups and Data Loss

Use of GreenCloud’s services is at your sole risk. GreenCloud is not responsible for data stored on your account. You are responsible for maintaining backups of all files and data.

7. Abuse Policies

Account use:

Accounts and passwords are for customer use only. Customers are responsible for securing their accounts and liable for all activities conducted through them. GreenCloud will only request passwords via secure support tickets. Multiple accounts are prohibited.

Reselling:

Customers may resell hosting services but are responsible for first-level technical support and billing for their clients. GreenCloud will only interact with direct customers. Resellers remain liable for their clients’ actions, including bandwidth overages and ToS violations.

Denial of Service (DoS) Attacks:

Prohibited: Using GreenCloud services to conduct DoS attacks is strictly prohibited and may result in permanent suspension without refund.

Mitigation: If a customer’s service is targeted by DoS attacks, GreenCloud may null-route affected IPs or suspend services to protect other customers. Frequent attacks impacting the network may lead to permanent suspension.

Restricted Services: Services prone to DoS attacks (e.g., IRC) are prohibited.

Spam:

Sending of bulk unsolicited commercial email (spam), is not allowed and will not be tolerated. Customers using the GreenCloud network may not send, or allow to be sent, via open relay or other means, unsolicited commercial email. Running a legitimate opt-in mailing list, or emailing existing customers, is of course, allowed. Although we may provide some opportunity to rectify spam problems that are not intentional on the part of the customer, ultimately, every customer is responsible for the activity that occurs via the services that they are paying for. Thus, customers who receive an occasional spam complaint but who do not appear to be knowingly sending spam, may be given notice to correct the issue, but repeated offenses may be grounds for service suspension. During any notice period given (if any), steps may be taken by GreenCloud as necessary to stop spam from being sent by the customer’s services, including temporarily suspending service, firewalling certain traffic, or other appropriate means. Customers who are, as determined by GreenCloud, knowingly sending spam may have their service permanently suspended without refund. Operating websites or services on the GreenCloud network, that are being or have been advertised in spam, are also not allowed, and are subject to the same policies as applied to services used to send spam. If customer’s improper actions or inactions are the cause of GreenCloud IP space being listed in any spam blacklist or database, that customer may be permanently suspended without refund, at the sole discretion of GreenCloud.

Phishing:

Hosting phishing sites is prohibited. Unintentional hosting requires immediate removal, with possible temporary suspension. Repeated or intentional phishing will result in permanent suspension without refund.

Legal Use:

GreenCloud services may only be used for legally permissible purposes under applicable law. Violations of this rule may lead to temporary or permanent suspension of service, with or without refund, and / or notification of appropriate law enforcement, at GreenCloud’s sole discretion. Uses that are not allowed include, but are not limited to:

  • Illegally defaming or slandering another person or group
  • Violating applicable copyright law
  • Distributing child pornography
  • Transmitting threatening messages
  • Violating applicable trademark or patent law
  • Using the service to commit denial of service attacks
  • Attempting to hack into or otherwise attempt to disrupt any network or system not belonging to you
  • Committing any action which incurs legal liability for GreenCloud
  • Acting in any other way not consistent with applicable law
Communications

Foul, explicit, rude, or abusive language is prohibited and may result in immediate account termination without refund.

Operating systems

Restrictions: Installing Linux on Windows VPS or Windows on Linux VPS is prohibited due to licensing agreements. Violations may result in suspension or termination.

macOS VPS: Apple Developer sign-in is not supported.

8. Content Policies

Content Monitoring:

GreenCloud does not routinely monitor content for ToS or legal violations. If violations are detected, GreenCloud may issue warnings, suspend services, or notify authorities, depending on the severity. Resource usage (e.g., bandwidth, CPU) is monitored for billing and reliability purposes.

Bit Torrent:

Legal BitTorrent use is permitted on Windows VPS, KVM Storage VPS, and dedicated servers. Copyright violations or frequent DMCA complaints may lead to suspension.

IRC:

IRC clients, servers, or bots are prohibited due to their susceptibility to DoS attacks. Violations may result in temporary or permanent suspension without refund.

Proxies:

Proxies are allowed unless they cause frequent abuse. Excessive abuse may lead to suspension. Additional IPs for proxies are limited to 5 per virtual/dedicated server, and IP rotation is not supported.

Bandwidth Usage

You are allocated a monthly bandwidth allowance. This allowance varies depending on the hosting package you purchase. Should your account pass the allocated amount we reserve the right to suspend the account until the start of the next allocation, suspend the account until more bandwidth is purchased at an additional fee, suspend the account until you upgrade to a higher level of package, terminate the account and/or charge you an additional fee for the overages. Unused transfer in one month cannot be carried over to the next month.

The network port is fair-shared so constantly use high amount of bandwidth is not allowed. This includes constantly consume more than 100mbps over 6 hours or burst to the full port (1Gbps or 10Gbps) frequently. It can be different in several locations especially in Asia.

International bandwidth on Vietnam VPS: Bandwidth from Vietnam to International is limited. We have 1Gbps local bandwidth in Vietnam and 50mbps bandwidth to International, so constantly consuming more than 5mbps international bandwidth over 1 hour is NOT allowed.

Direct China Bandwidth on Hong Kong VPS: We only offer 10mbps fair-shared direct bandwidth to China in Hong Kong DC1. It’s best-effort in Hong Kong DC2.

CPU Usage

KVM VPS CPU cores are shared (except our VDS plans). Consistent usage of one full core or more that impacts other clients may require usage reduction. Disruptive load may result in reboot, shutdown, or suspension. Average usage should not exceed 30%, with bursts to 100% allowed for 10 minutes every 24 hours.

Resource Usage

Prohibited activities include:

a) Use 100% or more of system resources for longer than 10 minutes.
b) Run any gaming servers such as counter-strike, half-life, battlefield1942, etc
c) Run TOR in any shape
d) Streaming/Live Streaming

We reserve the right to terminate any account without warning or notice if any of the above restrictions are violated and to examine the contents of any account at any time.
